Company Secretarial: Your Responsibilities

(1) You are responsible for filing the approved statutory accounts at Companies House within nine months of the period end.

A private company is required to file its accounts at Companies House within 9 months of the year end. The company will be liable to a fine if it fails to meet this deadline. We accept no responsibility for fines or regulatory action taken against the directors where the statutory accounts are not available for filing.

(2) You have agreed to keep us informed of any relevant changes and events which require notification to Companies House.

You agree to keep us fully informed of any relevant changes or events that require notification to Companies House, within one week of the change or event, as there are often deadlines associated with the forms which require submission to Companies House.

Company Secretarial: Our Responsibilities

(1) We have agreed to submit the unaudited fileted statutory accounts to Companies House.

Following the preparation of your unaudited statutory annual accounts and unaudited fileted statutory annual accounts, we have agreed to submit them to Companies House.

(2) We have agreed to complete and submit the company’s annual return or assist you with the annual confirmation statement.

We will prepare the company’s annual return based on the information held and obtained from you for your review and electronic approval. We will then submit this to Companies House. Where the annual return is superseded by the Annual Confirmation Statement, we will prepare this for your review and electronic approval and then we will submit to Companies House, as required.

(3) We have agreed to complete and submit other forms required by law to be filed at Companies House.

We have agreed to complete and submit other forms required by law to be filed at Companies House on the basis of information provided by you. For example, changes to directors including their address details.

(4) We have agreed to maintain the statutory books.

We have agreed to maintain the statutory books in an electronic format on the software of our choosing.

(5) We have agreed to maintain the register of People with Significant Control (PSC) and relevant filings.

We have agreed to maintain the register of PSC with Companies House and submit the relevant filings.
